Paris, April 28, 2026 — IC Avocats advised the founders of Aurlom Education on the tax structuring of the LBO/OBO transaction supporting CAPZA's entry into the group's capital.

Aurlom Education: a fast-growing private education group

Founded in 2006, Aurlom Education is a French private education group, originally focused on competitive examination preparation, which has progressively developed a range of degree programs, including BTS, Bachelor's and DCG (graduate accounting diploma). The group now offers over 30 educational pathways, notably in Paris, Nice and Lille.

The transaction: a minority OBO with CAPZA Transition

The transaction is structured as a minority OBO, with CAPZA entering the group's capital through its Transition vehicle and acquiring 25% of the share capital. The deal was primarily structured as a share buyback, supported by bank financing arranged by a pool composed of BRED, BPRI and BNP Paribas.
